The board also proposed a set of financial guardrails for the new direction, all of which need shareholder approval: borrowing powers of ₹200 crore, an investment/loan/guarantee ceiling of ₹50 crore, a ₹25 crore cap on loans to directors, and a ₹26.80 crore limit on material related-party transactions for fiscal year 2026-27. E-voting runs July 14 to 16, ahead of the EGM.
